Terms of Service

Please read these Terms of Service ("Terms") carefully before using any products or services offered by Watchman Forge ("we," "us," or "our"), a technology company based in New Jersey, USA. These Terms apply to our website at watchmanforge.com and all related products and services including Pathfinder: The Grid, Veil Studio, ChromaForge, and Vantage Edge (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

By creating an account, downloading our apps, purchasing our hardware, or otherwise accessing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

Certain Services require you to create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and secure
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable federal, state, local, or international laws or regulations
  • Transmit any advertising, promotional material, or any other form of unsolicited communication
  • Impersonate or attempt to impersonate Watchman Forge, a Watchman Forge employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • Attempt to gain unauthorized access to any portion of the Services or any related systems or networks
  • Use any automated means, including bots or scrapers, to access or interact with the Services without our permission
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Remove or alter any proprietary notices or labels on the Services

5. Intellectual Property

The Services and their entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, and audio — are owned by Watchman Forge and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include any right to sublicense, resell, or redistribute the Services.

6. User-Generated Content

Certain Services allow you to submit, upload, or generate content ("User Content"). By submitting User Content, you grant Watchman Forge a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely to provide and improve the Services.

You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not infringe upon the rights of any third party. You are solely responsible for your User Content and the consequences of sharing it.

7. AI-Generated Content (Veil Studio)

Veil Studio uses artificial intelligence to generate media content based on your inputs. You acknowledge that:

  • AI-generated content may not always be accurate, appropriate, or suitable for all purposes
  • You are responsible for reviewing and verifying AI-generated content before use
  • AI-generated content may be subject to limitations under applicable intellectual property laws
  • We do not guarantee that AI-generated content is free from third-party rights

8. Investment Information Disclaimer (Vantage Edge)

Vantage Edge and any investment-related information provided through our Services is for informational and educational purposes only. This information does not constitute financial, investment, legal, or tax advice. You acknowledge that:

  • All investment decisions are made solely at your own risk and discretion
  • Past performance is not indicative of future results
  • We are not a registered investment adviser, broker-dealer, or financial planner
  • You should consult a qualified financial professional before making investment decisions
  • Investing involves risk, including the possible loss of principal

9. Hardware Products

For hardware products including the ChromaForge, you agree to:

  • Use hardware products only for their intended purposes and in accordance with all documentation
  • Comply with all applicable laws regarding modification or installation in vehicles
  • Accept that improper installation or use may void any warranty and could cause damage
  • Not modify hardware in ways that could be unsafe or violate regulations

10. Third-Party Services

Our Services may integrate with or link to third-party services, applications, or websites. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies.

11. Fees and Payments

Some Services may require payment. All fees are stated in US dollars and are non-refundable except as required by law or as expressly stated in a separate refund policy. We reserve the right to change our pricing at any time with reasonable notice. Continued use of paid Services after a price change constitutes acceptance of the new pricing.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WATCHMAN OS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WATCHMAN OS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Watchman Forge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses arising out of or related to your violation of these Terms or your use of the Services.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you hereby consent to personal jurisdiction in such courts.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

17. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and Watchman Forge regarding the Services and supersede all prior agreements, representations, and understandings.
